Terms of Service
Version 1.0 · Effective from 9 October 2026
These terms are a contract between you and TUPPIN LTD. They apply when you create a Tuppin account or use Tuppin. Please read them and keep a copy.
The short version
This summary is not part of the contract. The numbered clauses below are what binds us.
- Tuppin is bookkeeping software for UK sole traders. It is not an accountant and gives no tax advice.
- Your figures and your tax filings stay your responsibility. HMRC holds you liable for them, not us.
- Your records belong to you. You can export them at any time, free of charge.
- Keep your own copies. HMRC requires you to keep records for at least five years, and software is not a substitute.
- Early access is free for a limited number of accounts. We will give you at least 30 days' notice before anything is charged.
- We do not sell your data and we do not use it to train third-party AI models.
1. Who we are and how these terms apply
- "We", "us" and "our" mean TUPPIN LTD, a company registered in England and Wales under company number 17469830, whose registered office is 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. You can reach us at support@tuppin.uk.
- "You" and "your" mean the person who opens the account and the business that person runs.
- You accept these terms by creating an account, signing in, or using Tuppin in any other way. If you do not accept them, do not use Tuppin.
- Tuppin is supplied for business use only. If you use Tuppin for the purposes of your trade or profession, you contract with us as a business, and consumer protection rules such as the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 do not apply to this contract.
- If you open an account on behalf of someone else, you confirm you are authorised to accept these terms for them.
- These terms, together with our Privacy Policy and our Data Processing Agreement, are the whole agreement between us about Tuppin.

3. Eligibility and your Account
- To open an Account you must be at least 18 and have, or be about to have, income taxed in the United Kingdom from self-employment or from letting UK property.
- Sign-in uses a link sent to your email address. Anyone with access to that inbox can sign in as you, so keep it secure and use a strong, unique password with two-factor authentication on the email account itself.
- You are responsible for everything done through your Account, including anything done by an Agent you have given access to.
- Give us accurate contact and billing details and keep them up to date. We use the email address on your Account for every notice under these terms.
- An Account is for one taxpayer. You may keep records for more than one sole trade and for a UK property business in the same Account, provided they are all your own. Anyone else's tax affairs need their own Account. Do not share sign-in access with anyone other than an Agent you have authorised.
- Tell us as soon as you think someone has gained access to your Account without your permission.
4. What Tuppin does, and what it does not do
- Tuppin is a record-keeping tool. It lets you record income and expenses for each of your sole trades and for a UK property business, categorise them, apply private-use adjustments, handle foreign currency, run recurring entries and see summaries of your position.
- We are not accountants or tax advisers. Nothing Tuppin shows you, and nothing we say in support, is tax, accounting, financial or legal advice. If you need advice, speak to a qualified adviser.
- Categories, suggestions, apportionments and totals that Tuppin produces are aids, not decisions. You must check them before you rely on them.
- You remain responsible for the accuracy and completeness of Your Data, for the treatment you give each transaction, and for everything you report to HMRC. HMRC holds you responsible for your tax position, not us.
- HMRC recognition. Tuppin is not currently listed by HMRC as recognised software for MTD for Income Tax, and cannot submit returns or updates to HMRC. Until we tell you otherwise, you must file through other means. We will publish a notice on tuppin.uk if that changes, and any HMRC-facing features may be subject to additional terms.
- Tuppin is not a bank account, payment service, invoicing bureau or a substitute for professional bookkeeping.
- We may add, change or withdraw features. Clause 11 sets out the notice we give.
5. Early access and free places
- We are offering Tuppin free of charge to the first 50 accounts during the Early Access Period. Places are limited and we may close, pause or change the offer at any time for new sign-ups.
- During the Early Access Period, Tuppin is under active development. Expect more frequent changes, bugs and downtime than you would from established software, and do not treat Tuppin as your only record of your business data.
- A free place does not become permanent. We may end the Early Access Period by giving you at least 30 days' notice by email.
- We will never start charging you without your agreement. At the end of the Early Access Period you can take a paid Subscription, or export Your Data and close your Account under clause 16.
- Clauses 13 and 14 apply with particular force while Tuppin is free.
6. Fees and payment
This clause applies once you take a paid Subscription.
- Our prices are published at tuppin.uk/pricing and are the total amount payable. Fees are payable in advance for each billing period. We are not currently registered for VAT, so no VAT is charged. If we become VAT-registered we will tell you at least 30 days beforehand, as clause 6.6 requires.
- Payment is taken by our payment processor, [Stripe]. You authorise us to charge the payment method on your Account for each billing period until you cancel.
- Your Subscription renews automatically at the end of each billing period. You can cancel at any time in your Account settings or by emailing us. Cancellation takes effect at the end of the billing period you have paid for.
- Fees already paid are not refundable for part-periods, except where clause 15.5 or 17.3 applies or the law requires a refund.
- If a payment fails, we will tell you and may suspend your Account if it is still unpaid 14 days later. Your Data stays available for export during that time.
- We may change our prices. We will give you at least 30 days' notice by email, and the new price applies from your next renewal. If you do not want to pay it, cancel before then.
7. Your responsibilities and acceptable use
- Use Tuppin lawfully, and only for your own business and, where you have one, your Agent's work on it.
- You must have a lawful basis for any personal data about other people that you put into Tuppin, including your customers, suppliers and any employees.
- You must not:
- resell, sublicense or white-label Tuppin, or use it to provide bookkeeping services to third parties, unless we have agreed that in writing;
- copy, modify, decompile or reverse engineer any part of Tuppin, except to the extent the law says you may;
- probe, scan or test the security of Tuppin, or attempt to bypass any limit or access control, without our prior written permission;
- use scripts, crawlers or other automated means to extract data beyond normal use of the features we provide;
- upload malicious code, or anything unlawful or infringing;
- use Tuppin to store data it is not designed for, such as card numbers or other payment credentials outside the fields provided; or
- place a load on Tuppin that unreasonably affects other users.
- If you find a security vulnerability, please report it to security@tuppin.uk and give us a reasonable chance to fix it before telling anyone else.
8. Your Data and your records
- Your Data is yours. We claim no ownership of it.
- You give us permission to host, store, copy, back up, process and display Your Data, and to transmit it to the third parties in clause 12, only so far as we need to in order to run Tuppin, support you, keep it secure and meet our legal obligations. This permission ends when the data is deleted under clause 16.
- We may produce aggregated statistics about how Tuppin is used, and use them to improve the product. These never identify you, your business or any individual.
- We do not sell Your Data, share it for advertising, or use it to train AI models, whether our own or a third party's. If we ever want to offer a feature that would require that, we will ask for your explicit opt-in first.
- We take regular backups, but backups are for our disaster recovery, not a filing service for you. Export Your Data regularly and keep your own copies.
- You are responsible for meeting your own record-keeping duties. HMRC generally requires a sole trader to keep business records for at least five years after the 31 January submission deadline for the relevant tax year. Do not rely on Tuppin as your only copy for that period.
9. Privacy and data protection
- How we handle personal data is set out in our Privacy Policy at tuppin.uk/privacy.
- For personal data about you as our customer, such as your name, email address and billing details, we are the controller.
- For personal data about other people that you put into Tuppin, such as your customers, suppliers or employees, you are the controller and we act as your processor. Our Data Processing Agreement at tuppin.uk/dpa governs that processing and forms part of these terms.
- Your Data is stored in the United Kingdom. We will tell you before we move it anywhere else, and will put appropriate safeguards in place.
- We use the sub-processors listed at tuppin.uk/subprocessors. We will give you at least 30 days' notice before adding a new one, and you may end your Subscription if you object.
- We apply appropriate technical and organisational security measures, including encryption in transit and at rest and access controls. No system is completely secure.
- If there is a personal data breach affecting Your Data, we will tell you without undue delay and give you the information you need to meet your own obligations.
10. Our intellectual property
- We and our licensors own Tuppin, including its software, design, content, documentation and the Tuppin name and logo. Nothing here transfers any of that to you.
- While your Account is open, you have a personal, non-exclusive, non-transferable right to use Tuppin for your own business, on these terms.
- If you send us ideas, suggestions or feedback, we may use them freely and without payment or obligation to you. You do not have to send us any.
11. Availability, support and changes
- We aim to keep Tuppin available at all times, but we do not promise uninterrupted service. We give no availability commitment during the Early Access Period.
- We need to carry out maintenance. Where we can, we will schedule it outside UK business hours and give notice in the app. Urgent security or stability work may have to happen without notice.
- Support is by email at support@tuppin.uk, Monday to Friday, excluding English public holidays. We aim to reply within two business days. We do not provide tax or accounting help.
- We improve Tuppin continuously and may change how features work. We will not remove a feature that is central to a paid Subscription without giving you at least 30 days' notice, and you may cancel and receive a pro-rata refund of prepaid fees if we do.
- We will give reasonable notice before any change that would require you to alter how you keep your records.
12. Third-party services
- Tuppin depends on third parties, including our hosting and database providers, our email delivery provider, our payment processor, and HMRC's APIs. The ones that handle Your Data are named individually in our sub-processor list under clause 9.5, which we keep current. We choose them carefully but we do not control them.
- Where you connect Tuppin to a service of your own, such as a bank feed or an accounting export, your use of that service is governed by that provider's own terms and privacy notice. You are responsible for reviewing them.
- We are not liable for the acts, omissions, outages or data handling of a third-party service, beyond our own responsibility as a data controller or processor under clause 9.
- If a third-party service stops being available to us, we may withdraw the feature that depended on it. We will give you as much notice as we reasonably can.
13. Warranties and disclaimers
- We warrant that we will provide Tuppin with reasonable care and skill.
- Beyond that, and to the fullest extent the law allows, Tuppin is provided "as is" and "as available". We exclude all other terms, conditions and warranties that would otherwise be implied by statute, common law or otherwise.
- We do not warrant that Tuppin will be uninterrupted or error-free, that defects will be corrected, that any calculation or category it produces will be correct for your circumstances, or that using Tuppin will make you compliant with MTD for Income Tax or any other obligation.
- Nothing in this clause affects any statutory right of yours that cannot lawfully be excluded.
14. Limitation of liability
- Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
- Subject to clause 14.1, we are not liable to you for:
- any penalty, interest, surcharge or assessment imposed by HMRC or any other authority;
- loss of profit, revenue, business, contracts, goodwill or anticipated savings;
- loss or corruption of Your Data, to the extent you could have avoided it by keeping your own copies as clause 8.5 requires; or
- any indirect or consequential loss.
- Subject to clause 14.1, our total liability to you for all claims arising in any 12-month period is limited to the fees you paid us in the 12 months before the claim arose.
- During the Early Access Period, where you pay us nothing, our total liability to you for all claims arising in any 12-month period is limited to £100.
- You accept that the limits in this clause are reasonable given that Tuppin is low-cost software, that you decide what to report to HMRC, and that you keep your own records.
15. Term, suspension and termination
- This agreement starts when you open your Account and continues until it is ended under this clause.
- You may close your Account at any time, from your settings or by emailing us.
- We may suspend your Account immediately if we reasonably believe it is necessary to protect Tuppin, our other users or ourselves, for example because of a security risk, unlawful use or a serious breach of clause 7. We will tell you why unless the law prevents us.
- Either of us may end this agreement if the other commits a material breach and has not put it right within 14 days of being asked to in writing.
- We may end this agreement, or withdraw Tuppin altogether, by giving you at least 60 days' notice. If we do, we will refund a pro-rata share of any fees you have paid for the period after termination.
- On termination, your right to use Tuppin ends, and clause 16 governs what happens to Your Data.
- Clauses 8, 9, 10, 13, 14, 16, 18 and 19 survive termination.
16. Getting your data out
- While your Account is open you can export Your Data at any time, in CSV format, free of charge. We will not hold Your Data hostage against unpaid fees.
- After your Account closes, we keep Your Data for 30 days so that you can still export it. Tell us if you need longer and we will do what we reasonably can.
- After that period we delete Your Data from our live systems within 30 days, and it falls out of our backups within a further 10 days. Deletion is permanent.
- We may keep records we are legally required to keep, such as billing records for tax purposes, and anonymised statistics that cannot identify you.
- Export before you close your Account. Once the periods in this clause have passed, we cannot recover anything for you.
17. Changes to these terms
- We may change these terms, for example to reflect new features, new legal requirements or changes to how Tuppin works.
- For any change that materially affects your rights, we will give you at least 30 days' notice by email and in the app, and we will publish the date of the change and keep previous versions available at tuppin.uk/terms/archive.
- If you do not accept a change, you may close your Account before it takes effect and we will refund a pro-rata share of any prepaid fees. Continuing to use Tuppin after the change takes effect means you accept the new terms.
- Minor changes that do not affect your rights, such as correcting a typo or updating our contact details, take effect when we publish them.
18. General
- Assignment. You may not transfer your rights or obligations under these terms without our written consent. We may transfer ours to a company that acquires our business or assets, on notice to you, provided your rights are not reduced.
- Notices. We give you notice by email to the address on your Account, or in the app. You give us notice by email to legal@tuppin.uk. An emailed notice is treated as received on the next business day.
- Severability. If a court finds any part of these terms unenforceable, the rest continues to apply.
- Waiver. If we do not enforce a right straight away, we do not lose it.
- Force majeure. Neither of us is in breach because of a delay or failure caused by something outside our reasonable control. If it lasts more than 30 days, either of us may end this agreement and we will refund any prepaid fees for the unused period.
- Third parties. Nobody other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- No partnership. Nothing here makes either of us the other's agent, partner or employee.
19. Complaints, governing law and contact
- If something goes wrong, email support@tuppin.uk first. We aim to respond within five business days and to resolve complaints informally wherever we can.
- These terms, and any dispute arising out of them or their subject matter, are governed by the law of England and Wales.
- The courts of England and Wales have exclusive jurisdiction over any such dispute.
